The Blume Health software platform and related practice management, wellness, and patient engagement modules (collectively, the "App") are designed to help qualified independent healthcare providers, wellness professionals, and healthcare practices grow, manage, and scale their services through technology-enabled workflows, marketing, and patient engagement tools.
Blume Health offers subscription-based access to the App under the following plans:
Customers may subscribe to the Basic Plan or Plus Plan on a monthly, quarterly, semi-annual, or annual basis, as selected at the time of purchase within the App or through an Order Form.
The App is provided to enable Customers (and their patients, where applicable) to access digital tools for practice operations, patient engagement, wellness program delivery, scheduling, documentation, communications, marketing support, and related administrative and operational workflows. Blume Health does not provide medical care and does not interfere with clinical decision-making.
The term of this Agreement begins on the Effective Date and continues for the subscription term selected by the Customer (monthly, quarterly, semi-annual, or annual).
Unless cancelled in accordance with this Agreement, subscriptions automatically renew for successive terms of the same duration as the original subscription term.
This Software License and Services Agreement ("Agreement") is entered into as of the Effective Date by and between Blume Health ("Company") and the subscribing customer ("Customer"). This Agreement incorporates the SaaS Order Form and these Terms and Conditions.
By accessing or using the App, Customer agrees to be bound by this Agreement.
Company grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for the Business Purpose during the subscription term.
Customer shall not:
Company will use commercially reasonable efforts to provide App availability, updates, and support, subject to scheduled maintenance, force majeure events, and circumstances beyond Company's reasonable control.
Customer is responsible for:
Customer agrees to pay all applicable subscription fees and taxes. Late payments may result in suspension or termination of access.
Each party agrees to protect the other party's Confidential Information and use it solely to perform obligations under this Agreement.
THE APP AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. COMPANY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Blume Health does not provide medical advice or clinical services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Customer agrees to indemnify and hold harmless Company from claims arising out of Customer's misuse of the App, violation of this Agreement, or violation of applicable law.
Either party may terminate this Agreement with 30 days' written notice. Upon termination, access to the App will cease at the end of the current billing period, subject to payment obligations.
This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict-of-law principles.
